Contributor License Agreement (CLA) for ______________¶

Thank you for your interest in contributing to ____________________.

Before we can accept your contribution, we need you to agree to the following terms.

Please read this Contributor License Agreement carefully.

1. Definitions¶

"You" (or "Your") shall mean the individual or entity that is making this Contribution.

"Contribution" shall mean any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to qbee AS for inclusion in, or documentation of, the ______________________ project (the "Work"). For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to qbee AS or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, qbee AS for the purpose of discussing and improving the Work, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

"qbee AS" shall mean the legal entity that is managing the __________________ project.

2. Grant of Copyright License¶

Subject to the terms and conditions of this Agreement, You hereby grant to qbee AS and to recipients of software distributed by qbee AS a perpetual, worldwide, non-exclusive, no- charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works under the Apache-2.0 license.

3. Grant of Patent License¶

Subject to the terms and conditions of this Agreement, You hereby grant to qbee AS and to recipients of software distributed by qbee AS a perpetual, worldwide, non-exclusive, no- charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, oMer to sell, sell, import, and otherwise transfer the Work under the Apache-2.0 license, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Work to which such Contribution(s) were submitted. If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Work to which You have

contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Work shall terminate as of the date such litigation is filed.

4. You Represent and Warrant That:¶

a. Each Contribution that You submit is an original creation of Yours (see section 7 for submissions on behalf of others);

b. Each Contribution that You submit does not include any intellectual property owned by a third party or otherwise encumbered by any legal restriction unless You have the necessary rights or permissions to make such Contribution;

c. Each Contribution that You submit is not subject to any confidentiality obligations or restrictions;

d. Each Contribution that You submit does not violate any laws, including but not limited to, export control laws;

e. You are legally entitled to grant the above licenses and to make the disclosures required herein;

f. You understand and agree that qbee AS and recipients of software distributed by qbee AS may use Your Contributions as distributed by qbee AS without restriction or payment to You or to any third parties;

g. You understand and agree that the decision to include Your Contribution in any project or repository is entirely at the discretion of qbee AS, and this Agreement does not guarantee that Your Contributions will be included in any product or service.

5. Disclaimer¶

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE CONTRIBUTION IS PROVIDED "AS IS" WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

6. Governing Law¶

This Agreement shall be governed by and construed in accordance with the laws of Norway.

7. Contributions from Employees¶

If You are an employee contributing on behalf of Your employer, You represent and warrant that You have the necessary rights and permissions to make the Contribution on behalf of Your employer, including but not limited to, the necessary corporate authority to enter into this Agreement.

8. Signatory¶

By signing this Contributor License Agreement, You accept and agree to the terms and conditions stated above.
